Michael E. Foreman is a nationally known restructuring lawyer who combines considerable big firm experience with an entrepreneur's business sensibilities and the C-suite and board's fiduciary sensitivities. Since 1986, he has served business clients facing significant challenge and transformation, with extensive experience in cases before United States Bankruptcy Courts and in proceedings in foreign jurisdictions.

Michael is the legal and strategic counsellor to C-suite officers, directors (including boards and special committees), lenders at all levels of a company's capital structure (including banks and financing institutions, second lien and mezzanine lenders, agents, trustees, special servicers, private equity funds, hedge funds, distressed debt funds, claims trading funds, real estate funds and investment trusts, and other investment vehicles), other creditors (including major and ordinary course vendors and contract parties), investors and equity holders, and court-appointed officials, advising on complex restructurings, financings, acquisitions, divestitures, contract negotiations, management transition, and lawsuits, as well as outside general or special counsel providing day-today business law advice.  He has been lead counsel in notable out-of-court, in-court and cross-border restructurings, sales, acquisitions and disputes, and is known for his creative use of the law and available business resources to reach consensual resolutions to seemingly intractable business problems.

Michael is the trusted legal advisor to clients in mergers and acquisitions, financings and internal investigations involving governance, breach of duty, accounting and suspected fraud or malfeasance.  He guides companies and their boards in fulfilling their fiduciary and corporate duties, responsibilities and obligations, helping companies to optimize operations and maximize value for all stakeholders.  He has also provided specific bankruptcy and insolvency expertise in real estate, structured finance and securitization transactions, including commercial and CMBS Loan workouts.   

Michael's experience covers a broad spectrum of matters.  He has played a pivotal role some of the nation's largest and most complex restructurings or liquidations under Chapter 11 of the federal bankruptcy code, often in tandem with other countries' corporate insolvency laws.  He has been instrumental in the resolution of complex restructurings, transactions and disputes of particular importance to an industry, to the region or communities impacted by the business in question, or because of the legal or business issues involved.  He has worked in myriad industries with all types of companies - healthy and distressed; small, middle market and large; local, regional, national and international; public and private-held. 

Michael lives in Westchester County, New York, and is an active leader in international,  New York City, Westchester and restructuring communities and bar associations.
