Alyson Harter advises sponsors and issuers regarding the preparation and launching of private syndications of commercial real estate, energy assets and interests in operating companies.

She assists clients with the structuring of various forms of private securities offerings, including Delaware Statutory Trusts, single and multi-asset funds, private REITs, oil and gas funds and opportunity zone funds, and often negotiates joint venture agreements between capital and development partners. Alyson also guides clients with all aspects of corporate structuring and governance matters, compliance with federal and state securities laws, rules, and regulations, and the preparation of managing broker-dealer agreements, selling member agreements and agreements with investment advisers for the distribution of their offerings.

Alyson received her Bachelor of Arts degree from Hollins University and her Juris Doctor degree from Tulane Law School. She began her career in mergers and acquisitions and securities with a firm in Zurich, Switzerland, which is now a member of the international law firm Eversheds Sutherland. After returning to the United States, Alyson practiced with a boutique firm in Atlanta, Georgia, advising clients in commercial real estate and private securities matters. Since 2011, she has focused her practice on private securities offerings.
