Victoria Lazar is an accomplished business executive, Board counselor, and seasoned chief legal officer who specializes in transforming complex global companies in the industrial and technology sectors. Most recently she was the Executive Vice President, Chief Legal Officer and Secretary for TechnipFMC (NYSE: FTI), a technology provider to new and traditional energy companies, where she was brought in to successfully guide the company through its spin from Technip Energies (Paris: TE) and resulting strategic re-alignment, [and to conclude three significant historic enforcement actions.] Before joining TechnipFMC, she was Senior Vice President, General Counsel and Corporate Secretary for Bristow Group (NYSE:VTOL), responsible for Board operations, legal, compliance and risk management, where she led its emergence from a Chapter 11 restructuring, and merger with its competitor ERA, to form the world’s leading industrial aviation company.

Before joining Bristow, Victoria progressed through various executive roles of increased authority at General Electric, including as general counsel and member of multiple management teams at one of GE’s most acquisitive divisions (GE Oil & Gas - Drilling, Production and Surface). She was responsible for all legal matters during a period period of unprecedented organic and inorganic growth in the division, and strategic alignment of GE’s approach to energy, ultimately culiminating in its merger and integration with Baker Hughes (NYSE: BKR), an initiative she helped lead. As executive counsel for M&A at General Electric Corporate at a pivotal time in the company’s history, she was instrumental in planning the spin of GE Healthcare that ultimately concluded in 2022.

Before joining GE, she spent a decade advancing in executive and legal roles at Electronic Data Systems Corporation (formerly NYSE: EDS), a Fortune 100 IT company, including general counsel and secretary for ExcellerateHRO, a start-up devoted to human resources business processes, and counsel for cross-border and domestic M&A. She began her professional career at BakerBotts, specializing in global capital markets, international commerce and M&A transactions.

She is on the Board of the Texas General Counsel Forum and a co-chair of the United Way Law Initiative. In addition, she advises several private companies focused on clean energy efforts and boardroom diversity, and has held leadership positions in several organizations dedicated to the professional advancement of women including 5050WomenOnBoards and the Women’s Energy Network. She is on the Executive Committee on the Alley Theater, and believes passionately in the importance of creative arts in transforming culture. She received her education from Cornell University and The Law School at the University of Chicago and is based in Houston.
