Scott Ashton has a corporate finance practice with emphasis on cross-border securities offerings, mergers and acquisitions and restructurings. Scott’s capital markets experience includes private placements and public offerings of debt and equity (including Rule 144A, Regulation S and SEC-registered offerings); his M&A experience encompasses public and private acquisitions, asset sales and tender offers; and his restructuring experience includes debt restructurings, bankruptcy proceedings and corporate spin-offs.

As part of Morrison & Foerster's leading private placement team, Scott has specialised expertise in representing European and other non-U.S. companies who wish to make private placements of debt securities to U.S. financial institutions. He also advises companies and investors with respect to corporate governance matters, SEC reporting and U.S. securities laws. Proficient in Spanish, Scott has represented issuers and underwriters as well as borrowers and lenders in transactions involving Latin American sovereigns and corporations.

Scott has been recognised for his capital markets expertise by legal directories including Chambers UK where he has been ranked for since 2016 for Capital Markets: Debt where he recognised as an Up-and-Coming lawyer for debt capital markets in 2017 and also by Legal 500 UK where he has been recommended for debt capital markets since 2016.
