Profile

Carrie focuses her practice on antitrust and trade regulation counseling and transactions. Carrie counsels clients on a variety of antitrust issues, including pricing policies, joint ventures, exclusive contracts, distribution practices, patent misuse and state action immunity. She has advised clients in healthcare regarding joint ventures, state action immunity, transaction discussions and planning, Certificate of Public Advantage application and general antitrust risks. For life sciences clients, she has advised on HSR reportability, citizen’s petitions and exclusive contracts. She has also analyzed market structure and market share for physician and hospital acquisitions. Carrie has counseled clients on distribution practices and exclusive contracts. She also advised clients in technology industries on patent misuse claims.

Carrie also handles antitrust aspects of mergers and acquisitions. She expertly handles the nuances of pre-merger notification filings and explains the requirements in plain English. She has also coordinated with local counsel in foreign countries for pre-merger notification filings. From an antitrust perspective, Carrie has advised clients on proper transaction and integration planning, transaction structure, due diligence and “clean team” procedures, minimizing risks of an FTC or DOJ investigation, and responding to FTC, DOJ or state agency requests for information. Carrie also has experience guiding clients through responding to Second Requests, Subpoenas, Civil Investigative Demands, Requests for Production and Interrogatories from DOJ, FTC, and private litigants in connection with challenges to transactions.

In addition, Carrie has experience in antitrust litigation in a variety of industries and venues. She has litigated a hospital merger through the FTC Part 3 Administrative Hearing process through to the Sixth Circuit. She litigated a patent misuse claim in the International Trade Commission. She has also defended clients against Sherman Act Section 1 and Section 2 claims filed in federal court. As a result, Carrie has significant experience in complex ediscovery issues, including collecting from individuals outside the United States and forensic collection and production issues.
